Agreement to these terms
These terms form an agreement between you and Peleka LLC (a Wyoming limited liability company — “Peleka”, “we”, “us”). By creating a Peleka account or using the service, you agree to these terms. If you are using Peleka on behalf of an organization, you agree on its behalf and confirm you have authority to do so.
Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use Peleka. You’re responsible for the accuracy of the information you provide, for keeping your login credentials confidential, and for all activity that happens under your account. Tell us right away if you suspect unauthorized access.
Acceptable use
You may only send email to people who have given you permission to contact them. Purchased lists, scraped addresses, and unsolicited bulk email are prohibited. Full detail on what’s allowed and what isn’t — including content restrictions and sending practices — lives in our Acceptable Use Policy, which is part of these terms. Violating it can result in throttling, suspension, or termination of your account.
Your content
You retain ownership of everything you create and upload to Peleka — your emails, templates, forms, and subscriber lists. You grant us a limited, worldwide license to host, process, and transmit that content solely as needed to provide the service to you. You’re responsible for having the rights and permissions necessary for the content you send and the subscribers you contact.
Our intellectual property
Peleka, our logo, and the software, design, and documentation that make up the service are owned by us and protected by intellectual property law. These terms don’t grant you any rights to our trademarks or branding beyond what’s needed to use the service normally.
Fees and billing
Paid plans are billed in advance on a monthly or annual basis through our payment processor. Subscriptions renew automatically at the end of each billing period unless cancelled beforehand. You can upgrade, downgrade, or cancel at any time; changes are prorated where applicable. Fees are exclusive of taxes, which you are responsible for where applicable, and are non-refundable except where required by law or stated otherwise.
Free plan and trials
We may offer a free plan or trial of paid features. We can modify or end free plans or trials at any time, and reasonable usage limits may apply to prevent abuse.
Third-party integrations
Peleka integrates with third-party services such as Shopify and WooCommerce. Your use of those services is governed by their own terms and privacy policies, and we aren’t responsible for how they operate. If a third-party integration changes or stops working, we’ll do our best to notify you, but we can’t guarantee uninterrupted availability of integrations we don’t control.
Disclaimers
The service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don’t guarantee that the service will be uninterrupted, error-free, or that email you send will always be delivered, as deliverability depends in part on factors outside our control, like recipient mail providers.
Limitation of liability
To the maximum extent permitted by law, Peleka won’t be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising from your use of the service. Our total liability for any claim relating to the service is limited to the amount you paid us in the twelve months before the claim arose. Some jurisdictions don’t allow these limitations, so they may not apply to you.
Indemnification
You agree to indemnify and hold Peleka harmless from claims, damages, and expenses (including reasonable legal fees) arising from your use of the service in violation of these terms, your content, or your violation of any law or third-party right.
Term and termination
You may close your account at any time. We may suspend or terminate accounts that violate these terms, particularly the Acceptable Use Policy, or where we reasonably believe your use of the service creates risk or legal exposure for us. If we terminate without cause, we’ll refund any prepaid, unused fees. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and dispute resolution — will continue to apply.
Governing law and disputes
These terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Any dispute arising from these terms or the service will be resolved in the state or federal courts located in Wyoming, and you consent to their jurisdiction, except where applicable law gives you the right to bring a claim in your local courts.
Changes to these terms
We may update these terms from time to time. If we make material changes, we’ll notify you by email or through the product before they take effect. Continuing to use Peleka after changes take effect means you accept the updated terms.
General
If any provision of these terms is found unenforceable, the rest remain in effect. These terms, together with our Privacy Policy, Acceptable Use Policy, and, if applicable to your use of the service, Data Processing Agreement, make up the entire agreement between you and Peleka regarding the service. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by circumstances beyond reasonable control.
